Adam Miller is an Attorney and Chief Executive Officer of Pivotal Law Firm, Inc.  Adam co-founded Pivotal after previously spending nearly a decade at large, international law firms, including Haynes and Boone, LLP and Bingham McCutchen LLP (acquired by Morgan, Lewis & Bockius LLP), practicing general corporate law with an emphasis on emerging companies, venture capital financings and mergers and acquisitions. He has provided comprehensive legal services to clients in a variety of industries, including technology, software, sports and entertainment, food and beverage, manufacturing and retail.

Adam’s clients have ranged from pre-revenue, start-up companies to an institutional company generating approximately $1 billion in annual revenue. Over the course of his career, Adam has represented clients in venture capital financings raising more than $100 million and clients in mergers and acquisitions transactions exceeding $1 billion. His clients appreciate his ability to work in a cost-effective manner, his knowledgeable and practical advice and his steadfast dedication to assisting them to achieve results.

He also sits on the Board of Directors of the Tech Coast Venture Network, a non-profit organization providing educational workshops, networking events, and mentors to aspiring business startups.

Adam lives in Tustin Legacy with his wife, Lindsay, and three boys, Owen, Caleb and Nathan. He enjoys golfing, running and biking, and is an avid fan of the LA Chargers and Villanova Wildcats.

Bart previously co-founded Pivotal after having spent over 25 years at big law firms, including Haynes and Boone, LLP and Manatt, Phelps & Phillips, LLP, practicing general corporate law with an emphasis on mergers and acquisitions, debt and equity financings and the cost-effective representation of entrepreneurs, start-ups and emerging technology companies.

Bart’s experience extends to all types of general corporate matters, essentially serving as outside general counsel to most of his clients. Such matters include, among others, mergers and acquisitions, with an emphasis on consolidations and roll-up strategies; private securities offerings, with an emphasis on those for emerging technology companies, including so-called “friends and family,” angel and venture capital financings; debt financings, including senior credit facilities, as well as mezzanine, subordinated and vendor-facilitated debt facilities; the formation of business entities, such as corporations, limited liability companies and joint ventures; shareholder and buy-sell agreements; employment and consulting agreements; and employee compensation matters, with an emphasis on providing equity incentives to employees through the use of restricted stock, stock options and phantom stock plans.

In his spare time, Bart enjoys staying in shape and tending to his garden. Bart is also a miles and points enthusiast.
